Board of Directors

The Company shall have nine directors (including three independent directors) to be elected at the shareholders' meeting from among the nominated competent persons. The directors are entitled to a tenure of three years and are eligible for re-election. The Board shall have at least three independent directors. The composition of the Board of Directors should have appropriate diversity considered. The Board shall include women and experts in the fields of law, accounting, industry, finance, marketing, R&D, technology and business management as well as members with other professional skills and industrial experiences.

To solidify the Company's supervisory duties and to strengthen management mechanisms, the Board shall include a Remuneration Committee and an Audit Committee.
